Booting failure

Iam having problems with a GA-5AX motherboard. New AMD K6-2 450 chip. Fan runs but no beeps at all. Monitor lights green and then immediately orange. No HDD sounds. Switched ram for known good one. changed banks etc. but to no avail.
Some help would be appreciated.

Recheck the jumpers. Clear the cmos jumper one time.
Unplug all drive cables and remove any cards except for the vid card.
What are you running for memory?

Added: 2 flavors of the K6-2 450. 2.2 volt and 2.4 volt. Might check that also.

I have checked the voltages The new chip is a K6-2+/450 2.0v core/ 3.3v IO
